i am facing problems related to launching s60 emulator........
as some times it shows "phone failed to start connect retailer"
but if i try again it works why is this problem

That is an exciting message, I have seen it only 2 times in my lifetime.
More seriously: which S60 SDK you mean? There are 18 of them (not counting the Java ones - since you say you use Carbide.c++).
I m using following version of SDK:
S60-SDK-200634-3.1-Cpp-f.1090b
S60 3rd Edition SDK for Symbian OS, Supporting Feature Pack 1, for C++.

you have signed the application with a certificate that is not still not valid or your IMEI is not in that certificated [if dev cert.]
Which certificate u r talking plz make me clear sir..........
what i meant is certificate with which you have signed your SIS file.
note: also check that [your device time] > [your PC/laptop time, where you are building your application]
Well since you are asking 'which certificate' I guess it would be a good idea to start from basics. There are some articles in the Wiki and on this website on getting started which you might want to check, one of them could be this one

I have valid licenses but in status option its showing "NotCheckedOut"...

I think you are referring to the carbide license which is not the certificate in question. The certificate that kumar mentioned is the certificate with which you sign your application.
I would really suggest you to go through the documents that I just mentioned above.

Skumar_rao and Symbian_Neil: note the first post, "i am facing problems related to launching s60 emulator". This message really exists, I have also seen it, though it has disappeared for me on next restart. However it is absolutely sure that it has nothing to do with signing and certificates.
Amitkamboj: try checking the logfile of the emulator: http://wiki.forum.nokia.com/index.php/Epocwind.out, it might contain something about the problem.
